The Riaz Capital team includes over 95 talented real estate investment, construction and operations professionals across its offices in San Francisco and Oakland.  Our Principals have been successfully operating in the Bay Area since 1977.  The Company currently owns and operates ~1,300 units, with $300 Million of assets under management (AUM). Riaz Capital has maintained consistent growth over the last 5+ years, and after the completion of three development projects currently in process, that number will increase to ~$400 Million AUM by 2019 and looking to grow to ~$1BN in assets under management by 2025.
Our latest projects are aimed at creating affordable and conveniently located housing for young professionals in the East Bay. The Bay Area's tremendous growth has resulted in skyrocketing housing costs forcing young professionals to make hard choices about privacy and savings to find a reasonable housing option to call home. On average, Bay Area millennials are spending 48% of their income on housing verses a national average of 25%. We are seeking highly motivated, forward thinking professionals to join our team in solving this important housing problem to provide comfortable, cool and reasonably priced housing for the "missing middle."


Corporate and Real Estate Attorney 
You are a self-starter who seeks challenges, responds quickly to crisis and change, is a strong, tough-minded negotiator who pays attention to detail and achieves results! You are a team player who thinks company first while also considering all relevant stakeholders (company, investment and investors) before reaching a conclusion. We need a team player to work with and assist the General Counsel in guiding external real estate and corporate counsel, and handle the myriad of situations arising from real estate development. The Corporate and Real Estate Attorney position is an opportunity to work alongside our real estate team in a fast-paced growing real estate and development company, where you are entering the company at an inflection point in its existence with major acquisitions and deals being made.


Responsibilities and Duties:

Real Estate and Corporate Work
  • While reporting to the General Counsel, your internal clients will be the Chief Investment Officer and CEO, with whom you will work closely to provide counsel regarding Real Estate transactions, including updating and negotiating deal terms on their behalf.
  • Execute real estate related contracts on behalf of the Company.
  • Update form contracts for specific instances and provide guidance to executives on potential pitfalls, while clearly highlighting options to produce beneficial Company outcomes.
  • Draft and execute formation documents for various Company structures and entities, including GPs, LPs, LLCs - which includes drafting the forms and amendments, and which may include assignments, mergers, and significant modifications to the effective agreements.
  • Advise and Execute legal paperwork for Acquisitions which includes term sheets, purchase and sales agreements, and master lease structures.
  • Support and counsel on matters related to Financing term sheets
  • Review and approve loan documents.

Contract Oversight:
  • Draft and review contracts for various construction and development projects such as vendor agreements and project contracts in coordination with the Chief Investment Officer and Development Team.
  • Review and advise CEO and other Company executives on various project and deal related contracts.
  • Work with project team to ensure we are aware of insurance issues related to developments.

Lease and Tenant issues:
  • Manage and provide legal support, representation and counsel in regard to commercial (and some residential) tenant matters.
  • Coordinate and communicate with Company employees and managers in the Property Management and Asset Management functions where appropriate, to gather information relevant to, and necessary for, Company representation.
  • Coordinate and collaborate with outside counsel where appropriate.
  • Draft, manage and review Artthaus member leases as well as implement commercial lease updates when necessary.
  
Preferred Qualifications
An ideal candidate will be a well-rounded Attorney with 5+ years related experience, with extended tenure in each position.  Such a candidate will have a demonstrated ability to solve problems, effectively negotiate and work effectively with our Chief Investment Officer, CEO, General Counsel, Associates as well as internal and external Attorneys who partner with the Company.
  • 5+ years real estate transactional experience
  • JD in the State of California
  • Hands-on work style, attention to detail, ability to effectively negotiate and follow direction and reach objectives
  • Able to distill complex information and break down options into easily discernible format, then present the option that makes the most sense for you to efficient decision making
  • Confidence and assertiveness to enforce controls
  • Excellent communication and zealous advocacy skills
  • Creative thinking and problem solving
  • Desire for legal career in fast-paced Real Estate environment
